Terms of Service

Last updated: October 22, 2026

These Terms of Service (“Terms”) govern your use of Toferon, an operations platform for service businesses provided by Sholar Solutions LLC (“we”, “us”). By creating a workspace or using Toferon, you agree to these Terms.

1. Your account and workspace

You must provide accurate information when creating an account and keep your credentials secure. You are responsible for activity that occurs under your account. Each workspace has an owner who controls its settings, team membership, and data. Toferon is a tool for businesses: you must be at least 18 years old and using it for a business or professional purpose, and if you accept these Terms on behalf of a business you confirm you are authorised to bind it.

2. Your customers and your data

The client records, quotes, invoices, schedules, and other business data you store in your workspace belong to you. We process that data only to operate the service on your behalf. You are responsible for having the right to store and use the personal information of the customers you add, and for complying with laws that apply to your business.

What you publish. Your workspace’s public page can carry a tagline, a description, links and photos you publish (Settings → Public profile). That content stays yours. You give us the licence we need to store it, resize it and show it on your page and in search and link previews, for as long as you keep it published. You confirm you have the right to show it: no photos of customers, their faces, homes or addresses without their permission, nothing you do not own or have permission to use, and nothing unlawful or misleading. We may take down anything that we reasonably believe breaks these rules or that a valid complaint identifies, and will tell you when we do.

3. Acceptable use

  • No unlawful, deceptive, or fraudulent activity.
  • No attempts to access other workspaces’ data or probe the platform’s security.
  • No sending spam or unsolicited bulk messages through the service.
  • No reselling or sublicensing the service without our written consent.

We may suspend or terminate workspaces that violate these rules.

4. Subscriptions and fees

New workspaces start with a 9-day free trial of every feature — no card required. Paid plans are billed monthly in advance through Stripe at the prices shown on our pricing page; prices exclude any sales tax that applicable law requires us to collect. You can change or cancel your plan at any time from Settings; cancellation takes effect at the end of the current billing period (deleting the workspace cancels the subscription at once). Fees already paid are not refunded when you cancel or downgrade, except where the law requires it or we failed to provide the service. If a card payment fails, you have 14 days to update your payment method before the workspace becomes read-only.

By arrangement, a workspace can instead be billed by invoice (card, check or bank transfer). Such a plan runs until the paid-through date on the invoice plus a 7-day grace period; the owner is emailed before it ends. The same no-refund rule applies to invoiced periods already paid.

A workspace without a paid plan (a trial that ended, a cancelled subscription, a payment that stayed unpaid past its grace period, or an invoiced period that ran out) becomes read-only: you can still sign in, view and export your data (the owner and admins), let your customers pay invoices they owe, and delete the workspace, but you cannot add, change or delete records until a plan is active again. We email the owner before this happens. We will give workspace owners advance notice of any price changes.

5. Payments you collect

Online payments from your customers are processed by Stripe through your own Stripe account. Your relationship with Stripe is governed by Stripe’s terms; we never see or store full card details. You are responsible for the accuracy of the invoices you issue and for any refunds or disputes with your customers.

6. Messages sent on your behalf

Toferon sends emails and (on eligible plans) text messages to your customers at your direction — quotes, invoices, reminders, review requests, and “on my way” notices. These are transactional messages about work your customer has engaged you for. Text messages go only to customers marked as having agreed to them (they ticked the box on your request form, or you recorded their verbal yes); record that only after actually asking. You are responsible for having the right to contact the people you add and for complying with messaging laws that apply to you; the service must not be used for marketing blasts or unsolicited outreach. AI-drafted text is a suggestion — review it before it is sent.

For text messages: message frequency varies with service appointments, and message and data rates may apply depending on the recipient’s carrier and plan. Recipients can opt out at any time by replying STOP to any message or get assistance by replying HELP; opt-outs are honored automatically. Texts are sent from one number shared by every business on Toferon, so a recipient’s STOP stops texts from all of them until they reply START; the app tells you when a customer has opted out. Mobile numbers and messaging consent are never sold or shared with third parties for their marketing purposes.

7. Availability and support

We work to keep Toferon available and your data safe, but the service is provided “as is” without warranties of any kind. We may modify or discontinue features with reasonable notice. Support is available in the app (Help → Contact support) or at support@toferon.com; we aim to answer within 3 business days, and Business plan requests are answered first.

8. Limitation of liability

To the maximum extent permitted by law, Sholar Solutions LLC is not liable for indirect, incidental, or consequential damages, or for loss of profits, revenue, or data, arising from your use of the service. Our total liability for any claim is limited to the amount you paid us for the service in the twelve months before the claim arose.

9. Termination

You can stop using Toferon and delete your workspace yourself at any time from Settings. We may terminate or suspend access for violations of these Terms. Upon termination we will, on request, provide a reasonable opportunity to export your data.

10. Changes to these Terms

We may update these Terms from time to time. If a change is material we will notify workspace owners by email or in the app before it takes effect. Continued use after a change means you accept the updated Terms.

11. Indemnity, governing law and venue

You will defend and indemnify Sholar Solutions LLC against claims brought by your customers or other third parties arising from the data you store, the messages you send through Toferon, or your breach of these Terms.

These Terms are governed by the laws of the United States state in which Sholar Solutions LLC is organised, without regard to its conflict-of-law rules; disputes will be brought in the courts of that state.
